TERMS OF USE / TERMS OF SERVICE

These Terms of Use ("Terms") govern your access to and use of the HyndSyte Client Management System software, website, and any related applications (collectively, the "Software"). By accessing or using the Software, you agree to be bound by these Terms.

If you do not agree to these Terms, you may not access or use the Software.

1. ELIGIBILITY

You represent that you are at least 18 years old and have the legal authority to enter into these Terms. If you use the Software on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. LICENSE GRANT

Subject to your compliance with these Terms, HyndSyte LLC grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Software for your internal business purposes. This license does not include the right to:

  • Modify, copy, or create derivative works of the Software
  • Reverse engineer, decompile, or disassemble the Software
  • Rent, lease, lend, sell, sublicense, or transfer the Software
  • Remove or alter any proprietary notices or labels
  • Use the Software for any unlawful purpose

3. USER ACCOUNTS AND RESPONSIBILITIES

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Ensuring that your use complies with all applicable laws and regulations
  • Providing accurate and complete information
  • Promptly notifying us of any unauthorized access or security breach

4. PROHIBITED CONDUCT

You agree not to:

  • Use the Software to violate any law, regulation, or third-party rights
  • Attempt to gain unauthorized access to any systems or data
  • Interfere with or disrupt the integrity or performance of the Software
  • Transmit any malware, viruses, or harmful code
  • Use the Software to send spam or unsolicited communications
  • Impersonate any person or entity

5. INTELLECTUAL PROPERTY

The Software and all content, features, and functionality, including but not limited to software code, text, graphics, logos, icons, images, and designs, are owned by HyndSyte LLC or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

"HyndSyte" and related logos are trademarks of HyndSyte LLC. You may not use these marks without prior written permission.

6. CONFIDENTIALITY AND NON-DISCLOSURE

During your use of the Software, you may have access to non-public, confidential, or proprietary information about HyndSyte LLC, its business, systems, technologies, customers, or partners ("Confidential Information"). You agree to:

  • Use Confidential Information solely for the purpose of using the Software as permitted
  • Not disclose Confidential Information to any third party without prior written consent
  • Use at least reasonable measures to protect the confidentiality of such information
  • Promptly notify HyndSyte LLC of any unauthorized disclosure

7. BETA TESTING NON-DISCLOSURE AGREEMENT

IMPORTANT: If you are participating in any beta testing, early access, or pre-release program for the Software, the following additional terms apply:

  • All beta features, functionality, performance data, and documentation are strictly Confidential Information
  • You agree not to disclose, publish, or share any information about beta features with any third party
  • You may not post screenshots, videos, or descriptions of beta features on social media, forums, or any public platform
  • You may not discuss beta features with anyone outside of your organization without written permission
  • Beta features are provided "AS IS" and may be incomplete, contain errors, or change significantly
  • HyndSyte LLC may discontinue or modify beta features at any time without notice
  • Your feedback about beta features becomes the property of HyndSyte LLC

These beta testing obligations survive the termination of your access to the Software and remain in effect until the features are publicly released or HyndSyte LLC provides written release from these obligations.

8. DATA AND PRIVACY

Your use of the Software is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Software, you consent to the collection, use, and disclosure of information as described in the Privacy Policy.

You retain ownership of any data you input into the Software. You grant HyndSyte LLC a limited license to use, process, and store your data solely to provide and improve the Software.

HyndSyte LLC ("we," "us," or "our") is committed to protecting your privacy. This Privacy Policy explains how we collect, use, disclose, and safeguard your information when you use our Client Management System software and related services (the "Software").

6.5 Do Not Track

We currently do not respond to "Do Not Track" browser signals, but we provide opt-out options as described above.

7. CHILDREN'S PRIVACY

The Software is not intended for children under 18 years of age. We do not knowingly collect personal information from children. If you believe we have collected information from a child, please contact us immediately.

8. INTERNATIONAL DATA TRANSFERS

Your information may be transferred to and processed in countries other than your country of residence. These countries may have different data protection laws. By using the Software, you consent to such transfers. We ensure appropriate safeguards are in place to protect your information.

9. CALIFORNIA PRIVACY RIGHTS

9. DISCLAIMER OF WARRANTIES

THE SOFTWARE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, HYNDSYTE LLC DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY, RELIABILITY, OR COMPLETENESS
  • UNINTERRUPTED OR ERROR-FREE OPERATION

10. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:

  • HYNDSYTE LLC'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SOFTWARE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID FOR THE SOFTWARE DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
  • HYNDSYTE LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL.

11. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless HyndSyte LLC, its officers, directors, employees, agents, and affiliates from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Software
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Any data or content you submit through the Software

12. TERMINATION

HyndSyte LLC may suspend or terminate your access to the Software at any time, with or without cause, with or without notice. Upon termination:

  • Your right to use the Software will immediately cease
  • You must destroy any copies of Software materials in your possession
  • Provisions that by their nature should survive (including confidentiality, disclaimers, limitations of liability, and indemnification) will continue in effect

13. GOVERNING LAW AND JURISDICTION

These Terms are governed by and construed in accordance with the laws of the State of [Your State], United States, without regard to conflict of law principles.

Any disputes arising out of or relating to these Terms or the Software shall be resolved exclusively in the state or federal courts located in [Your County], [Your State], and you consent to the personal jurisdiction of such courts.

14. DISPUTE RESOLUTION

Before initiating any legal proceeding, you agree to first contact HyndSyte LLC and attempt to resolve the dispute informally for at least thirty (30) days. If the dispute cannot be resolved informally, either party may proceed with legal action as provided in Section 13.

15. MODIFICATIONS TO TERMS

HyndSyte LLC reserves the right to modify these Terms at any time. When we make changes, we will update the "Last updated" date at the top of this page. Your continued use of the Software after any changes constitutes your acceptance of the revised Terms.

16. GENERAL PROVISIONS

  • Entire Agreement: These Terms constitute the entire agreement between you and HyndSyte LLC regarding the Software.
  • Severability: If any provision is found unenforceable, the remaining provisions will continue in effect.
  • Waiver: Failure to enforce any provision does not constitute a waiver of that provision.
  • Assignment: You may not assign these Terms without prior written consent. HyndSyte LLC may assign these Terms freely.
  • No Third-Party Beneficiaries: These Terms do not create any third-party beneficiary rights.
